Terms and Conditions

1. Definitions
In these terms and conditions, the following definitions apply:
- Redelijk en Billijk: Redelijk en Billijk B.V., established in Rotterdam, registered with the Dutch Chamber of Commerce under number 70753571, hereinafter also referred to as "we", "us" or "our".
- Client: the natural person or legal entity that enters into an agreement with Redelijk en Billijk or to whom Redelijk en Billijk makes an offer.
- Agreement: any arrangement between Redelijk en Billijk and the client regarding the services to be provided, including amendments and additions thereto.
- Services: all activities that Redelijk en Billijk performs for the client within the framework of an agreement.
- In writing: by letter, email or any other electronic means of communication.
2. Applicability
These terms and conditions apply to all offers, quotations, agreements and services of Redelijk en Billijk, unless expressly agreed otherwise in writing.
The applicability of any purchasing or other conditions of the client is expressly rejected.
If one or more provisions of these terms and conditions are wholly or partially void or annulled, the remaining provisions shall remain in full force and effect. Redelijk en Billijk and the client shall then consult to agree on replacement provisions that align as closely as possible with the purpose and intent of the original provisions.
3. Nature of Services
Redelijk en Billijk provides legal guidance, advisory and support services. Our services expressly do not constitute legal practice (advocatuur). We are not lawyers and are not registered with the Netherlands Bar Association (Nederlandse Orde van Advocaten).
Our services may include:
- Legal analysis and advisory
- Guidance in legal proceedings and processes
- Drafting and reviewing documents
- Mediation and negotiation
- Referral to specialised professionals when necessary
If the client's situation requires the assistance of a lawyer or other specialised professional, Redelijk en Billijk will inform the client accordingly and refer them if needed.
4. Obligation of Effort
The obligations of Redelijk en Billijk under the agreement constitute an obligation of effort (inspanningsverplichting) and not an obligation of result (resultaatsverplichting). Redelijk en Billijk will perform the engagement to the best of its insight and ability, in accordance with the standards of good professional practice.
Redelijk en Billijk cannot guarantee the achievement of any particular result. Whether or not the result desired by the client is achieved is therefore not a measure of the quality of the services provided.
5. Client Obligations
The client ensures that all data and documents that Redelijk en Billijk requires for the proper execution of the engagement are provided in a timely, complete and correct manner.
The client warrants the accuracy, completeness and reliability of the information provided to Redelijk en Billijk, even if it originates from third parties.
If the client fails to fulfil its obligations, or fails to do so in a timely or proper manner, Redelijk en Billijk is entitled to suspend the performance of the agreement and to charge the resulting additional costs to the client.
6. Fees and Payment
The fees of Redelijk en Billijk are agreed in writing prior to the engagement. All amounts quoted are exclusive of VAT, unless expressly stated otherwise.
Redelijk en Billijk is entitled to require an advance payment prior to or during the performance of the engagement.
Invoices must be paid within 14 days of the invoice date, unless a different payment term has been agreed in writing. If the payment term is exceeded, the client is in default by operation of law and Redelijk en Billijk is entitled to charge the statutory (commercial) interest, plus extrajudicial collection costs.
If the client's financial situation gives cause to do so, Redelijk en Billijk is entitled to demand additional security. If this is not provided, Redelijk en Billijk is entitled to suspend or terminate the performance of the agreement.
7. Confidentiality
Redelijk en Billijk is obliged to maintain confidentiality with regard to all confidential information obtained from the client or from other sources in the context of the agreement. Information is considered confidential if it has been designated as such by the client or if it follows from the nature of the information.
The confidentiality obligation does not apply if Redelijk en Billijk is required by law or court order to disclose the information to a third party and Redelijk en Billijk cannot invoke a right of non-disclosure.
Redelijk en Billijk will not share the client's information with third parties without prior written consent, unless this is necessary for the performance of the engagement or unless a legal obligation so requires.
8. Liability
The liability of Redelijk en Billijk is limited to the amount paid out by the professional liability insurance in the relevant case, plus the amount of the deductible payable by Redelijk en Billijk under the policy conditions.
If, for whatever reason, no payment is made under the professional liability insurance, the total liability of Redelijk en Billijk is limited to the total fee charged for the relevant engagement, with a maximum of the amount invoiced over the last three months.
Redelijk en Billijk is never liable for:
- Indirect damage, consequential damage, lost profits or missed savings
- Damages resulting from the provision of incorrect or incomplete information by the client
- Damages arising from acts or omissions of third parties engaged by the client
A claim for compensation expires in any event 12 months after the client discovered the damage or could reasonably have discovered it.
9. Termination
Either party may terminate the agreement in writing at any time, subject to a reasonable notice period of at least 14 days.
In the event of early termination, the client owes the fee for all work performed up to that point, plus any costs that Redelijk en Billijk incurs as a result of the termination.
Redelijk en Billijk is entitled to terminate the agreement with immediate effect if:
- The client is in default with regard to the fulfilment of its obligations
- Redelijk en Billijk has well-founded reasons to doubt the accuracy of the information provided by the client
- Circumstances come to the attention of Redelijk en Billijk that make proper performance of the agreement impossible or unreasonably burdensome
10. Complaints
If the client is not satisfied with the services provided by Redelijk en Billijk, we request the client to report this in writing as soon as possible, but no later than 30 days after the complaint arises.
Redelijk en Billijk takes every complaint seriously and aims to provide a substantive response within 14 days of receipt of the complaint. We endeavour to reach a satisfactory resolution through mutual consultation.
11. Applicable Law and Competent Court
All agreements between Redelijk en Billijk and the client are governed exclusively by Dutch law.
Disputes arising from or in connection with the agreement or these terms and conditions shall be submitted exclusively to the competent court in the district of Rotterdam, unless the law mandatorily designates a different court.
12. Changes
Redelijk en Billijk reserves the right to amend these terms and conditions. Amendments take effect 30 days after announcement, unless a different date is specified in the amendment. The most recent version of the terms and conditions is always available on our website.
For ongoing agreements, the version of the terms and conditions that was in effect at the time the agreement was concluded shall continue to apply, unless the client agrees to the amended terms.
